Job Description

As a Privacy Legal Counsel, and reporting to the Senior Legal Counsel and UK DPO you will be part of Entain's Data Privacy team. With the expansion of the global privacy team, the increasing workload produced by the privacy programme and business demand for supplier due diligence, this team require additional legal and data protection support.

We are looking for a qualified in-house lawyer to be based in our London office.

What you will do

• Assisting with executing transactions across the capital structure, including acquisitions and disposals, joint ventures, and other strategic corporate transactions (the majority of which will be international and cross-border in nature).  This will include:
  o    working with external counsel on all workstreams associated with transaction execution, and liaising with internal stakeholders from across group functions on the same (including the regulatory, finance, employment, tax, real estate and commercial teams);
  o    working closely with colleagues from across the business collaboratively and constructively to achieve commercial deal objectives;
  o    negotiating and managing principal transaction documentation, in conjunction with senior team members where appropriate;
  o    leading legal due diligence and disclosure workstreams, and supporting with the evaluation of their findings and associated reporting matters (including to the board of Entain plc); 
  o    supporting work required to satisfy conditions precedent to closing of transactions (including regulatory change in control and anti-trust conditions); and
  o    assisting in managing and refining the Legal & Compliance function's post-deal integration efforts.
• Managing ancillary transaction and other corporate documentation, including NDAs and engagement letters (working with external counsel);
• Supporting the preparation of internal papers summarising proposed transactions (and key risks associated with the same) for review and approval by the board of Entain plc; and
• Supporting the business on other corporate initiatives as required (including group reorganisations, restructurings, intragroup financing arrangements and corporate governance matters).
   

Qualifications

• Interest in IT developments and new technologies. 
• Qualified lawyer, with experience either in-house or at a law firm.
• Degree-level qualified, such as Legal, Privacy or IT/Comms degree with a compliance add on.
• Commercial contract experience.
• Good attitude and solid work approach.
• Multi-tasker, inquisitive and proactive self-starter and able to work with tight deadlines.
• Has the capacity to fulfil responsibilities with limited supervision whilst maintaining effective communication with the Privacy Lawyers' / DPOs and the rest of the privacy team.
• Strong oral and written communication skills to correspond with customers, suppliers and senior stakeholders across various teams and departments.
• Process orientated and excellent attention to detail.
• High degree of discretion and confidentiality in handling often sensitive team and business issues.
• Previous experience and knowledge of data protection laws, in particular the
• General Data Protection Regulation and other international data protection legislation, such as the UK Data Protection Act 2018.
• International experience outside of the UK.
• Digital or Sports Betting & Gaming experience.
• Prior experience or knowledge with the OneTrust data privacy tool.
• Relevant professional qualifications e.g. IAPP CIPM or CIPP/E.
• Interest in IT developments and new technologies.
