The Role
Fanatics is seeking a talented Corporate Counsel to join our dynamic team. Reporting directly to the SVP, M&A and Corporate, this role offers a unique blend of autonomy, collaboration, and the chance to work on high-profile projects that shape our global business.
This attorney will collaborate and work cross-functionally across multiple departments on matters relating to corporate governance and compliance, global subsidiary management, finance and treasury operations, and projects and initiatives (including corporate transactions and mergers and acquisitions) as needed. This attorney will also be responsible for public company preparedness initiatives and for handling securities offerings under the ’33 Act, including preparing and drafting all or a substantial portion of relevant filings. In addition, this attorney will provide day-to-day advice and counsel on a broad range of securities and governance matters to the board and the committees, internal clients, including Fanatics’ Finance, Business Development, Investor Relations, Internal Audit, Accounting, Tax and Treasury teams.
What You'll Do:
Day-to-day responsibilities will include:
- General corporate, governance and compliance-related matters.
- Global subsidiary management with cross-functional teams, including drafting corporate organizational documents and maintaining corporate records.
- Board and Committee meeting preparation, including drafting resolutions, minutes, and related materials.
- Support of the company’s financing efforts and partnering with the company’s finance team to support capital raising efforts, including public and private financing, using equity and/or debt instruments.
- Development and management of a public company preparedness program and related infrastructure, work on all securities offering aspects and process.
- Performing and supervising legal work on matters relating to Investor Relations, including management presentations for shareholders and securities professionals.
- Performing and supervising legal work on matters relating to Corporate Communications, including communications to employees and shareholders.
- Performing and supervising legal work on matters arising under the Sarbanes-Oxley Act of 2002, such as independence of auditors and governance matters under stock exchange listing standards and SEC regulations.
- Providing day-to-day advice and periodic training on disclosure and legal matters, corporate secretarial tasks and advising the groups responsible for corporate communications, corporate responsibility, executive compensation, external financial reporting, investor relations and treasury matters.
- Supporting the Company’s merger and acquisitions, divestitures, joint ventures, strategic investments, and other corporate transactions, including negotiating and drafting related agreements and transaction documents.
- Partnering with global cross-functional teams including Communications, M&A, Investor Relations, Accounting, Treasury, Sustainability and Tax on various projects.
- Supervising outside counsel.
What We're Looking For:
- Five (5) to seven (7) years of general corporate experience, including capital markets and M&A experience, from a top law firm (or law firm + in-house) required. In-house public company experience a plus.
- A team player with an ability to collaborate effectively with cross-functional teams.
- Proven track record of working independently and driving projects to completion with minimal supervision.
- Flexibility, self-starting attitude, and a strong work ethic, enabling you to thrive in a fast-paced and evolving environment.
- Interpersonal skills; ability to forge strong relationships with key stakeholders throughout the organization.
- Strong organizational skills, allowing you to manage multiple projects simultaneously while meeting deadlines and adjusting shifting priorities.
- Demonstrated desire for personal growth and an eagerness to take on new challenges and responsibilities over time.
- Excellent written and oral communication skills, including the ability to present complex legal concepts clearly and concisely.
- Experience working with legal professionals on cross-functional teams or projects.
- J.D. from an accredited law school.
- License to practice law in New York.
The salary range for this position is $225,000 to $250,000, which represents base pay only and does not include short-term or long-term incentive compensation. When determining base pay, as part of a final compensation package, we consider several factors such as experience, qualifications, and training.
