Senior Corporate Paralegal

Contracts and Commercial Transactions

• Independently review, redline, draft, and summarize a wide range of contracts including NDAs, vendor agreements, service agreements, sublicenses, customer agreements, and employment agreements
• Ensure contracts comply with legal requirements and company policies
• Collaborate with business units to understand commercial goals and mitigate legal risks

Litigation & Enforcement

• Respond to third-party subpoenas for employment records and other business records
• Investigate and respond to administrative actions such as EEOC Charges, OSHA Complaints, Consumer Protection Enforcement Actions 
• Monitor litigation developments and maintain a centralized litigation tracker 
• Track and manage certain litigation or cease-and-desist matters, especially related to IP violations or product liability claims.
• Support product recall or consumer complaint investigations as needed.

Intellectual Property

• Draft cease and desist letters and track deadlines and responses
• Support online enforcement efforts, including monitoring and drafting of takedown notices
• Support trademark clearance and analysis program

Marketing and Advertising Compliance

• Review marketing campaigns (email, social media, site banners) for proper use of licensed marks/logos.
• Ensure sweepstakes, giveaways, and influencer campaigns comply with FTC rules and league or licensee guidelines.

Legal Research & Documentation

• Conduct in-depth legal and factual research to support complex legal matters
• Prepare legal memoranda, summaries, and reports for attorneys
• Monitor regulatory changes and industry developments relevant to company operations.

Compliance, Regulatory & Risk Management

• Support internal compliance audits and investigations
• Develop and maintain contract templates and standard terms
• Assist with corporate governance by coordinating stakeholders to draft resolutions and POAs
• Manage processing of permits, registrations, required signatures and notarizations

Administrative Support & Other Duties

• Review and distribute mail to appropriate stakeholders without close supervision
• Identify opportunities to improve legal operations and implement best practices for workflow and legal document management
• Other duties required from time to time

What you bring to the team:

Experience: 15+ years of paralegal experience, with significant exposure to commercial contracts and litigation, preferably in a large law firm

Education: Bachelor’s degree required. Paralegal certification from an ABA-approved program preferred

Skills:

• Exceptional attention to detail
• Independent contract analysis and drafting skills
• Strong knowledge of contract law, commercial law, and litigation/enforcement
• Excellent written and verbal communication, with the ability to convey complex legal concepts to diverse audiences
• High level of discretion and ability to handle confidential, proprietary, and sensitive information
• Advanced Microsoft Office Suite skills
• Demonstrated ability to exercise discretion and independent judgment as part of a cross-functional team
• Proven record of handling a high volume of legal work in a fast-paced environment
