The Role

The Corporate Counsel role willbe responsible forproviding comprehensive legal support to CAA’s business groups, with a primary focus on M&A, JVs and minority investments, real estate, treasury,intellectualpropertyand general corporate mattersThe Corporate Counsel must have broad corporate and transactional experience with an entrepreneurial mindset and the ability to work collaboratively across various corporate groups, includingFinance & Accounting,Tax,Treasury, GlobalFacilitiesand IT.The Corporate Counsel role will report to the Deputy General Counsel or Senior Corporate Counsel, as directed. 
 

Responsibilities 

  • Provide support fordomestic and internationalcorporatetransactions, includingpurchase agreements, LOIs/termsheetsand associated deal documentation
  • Provide support for real estate transactions, including working with members of the facilities team on deal structure and LOI terms, drafting and negotiating lease agreements, and actively managing the legal process relating to real estate matters 
  • Supporting various corporategroups(e.g., Finance and Accounting, Tax,Treasury,etc.) on corporate,regulatoryand otherintercompanytransactional matters
  • Interact with global legal and business colleagues on multi-jurisdictional transactions and initiatives
  • Manage outside counsel andmaintainprimary legal lead on various matters for internal business teams
  • Provideongoingsupport for general corporate matters, including commercial contracts, licensing, investment portfoliomanagementandcorporate entityadministration
  • Work on multiple transactions concurrently
     

Qualifications

  • Juris Doctor degree and admitted to practice in at least one USjurisdiction(CA preferred) with 4+ years of relevant experience with a top tier law firm ora sophisticatedin-houselegal department(experience with the media, entertainment and/or technology industries preferred) 
  • Ability to multi-task and work quickly and collaboratively under tight deadlines
  • Willingness to roll up sleeves (no job too big, no job too small)
  • Sound business judgment anddemonstratedexperienceprovidingpractical legal advice
  • Abilityto handle sensitive and confidential information and problem-solve ina professional,creativeand ethical manner
  • Highly responsive and service-oriented attitude
  • Ability to organize, prioritize, and manage deadlines in a fast-paced and demanding work environment
  • Overall broad legal experience in corporate law(includinglegaldrafting and deal negotiation from start to finish)
  • Excellent written and verbal communication skills, strong analyticalskillsand attention to detail
  • Ability to clearly present ideasandsummarize complex issues, both in writing and verballyto senior executives
     

Location

This position will be based in our LA office with a minimum of 3 days a week in the office.
 

Compensation

The annual base salary for this position is in the range of $168,000 - $260,000 in Los Angeles, CA. This position is also eligible for benefits and a discretionary bonus.Ultimately, the salary may vary based upon, but not limited to, relevant experience, time in therole, business sector, and geographic location, among other criteria.Please talk with a CAA Recruiter to learn more.
